- By accessing or using the TechKosha website (techkosha.com) or platform app (platform.techkosha.com), you agree to be bound by these Terms and Conditions.
- If you do not agree to these Terms, you must not access or use any part of our services.
- These Terms apply to all users — business owners, their staff members, and any other person who accesses our services.
1. About TechKosha and These Terms
TechKosha is a digital platform operated by Anityalabs ("Company", "we", "us", "our") that provides small business owners across India with tools to manage customer records (Customer Khata), send WhatsApp-based promotional messages (Promotions), and run customer referral programmes (Referrals).
These Terms and Conditions ("Terms") govern your access to and use of:
- The TechKosha website at techkosha.com and any subdomains (the "Website")
- The TechKosha web application accessible at platform.techkosha.com (the "App" or "Platform")
- Any related features, content, APIs, or services offered by TechKosha
These Terms are a binding legal agreement between you ("User", "you") and TechKosha. By clicking "Agree", completing registration, or simply using the Services, you confirm that you have read, understood, and agreed to these Terms. If you are using TechKosha on behalf of a business, you represent that you have the authority to bind that business to these Terms.
2. Definitions
The following terms have the meanings set out below throughout this document:

| Business Owner | The primary account holder who registers a business profile on TechKosha. |
| Customer Data | Information about the end-customers of a Business Owner that is entered into or uploaded to the TechKosha platform (e.g., customer names, phone numbers, payment status). |
| Content | All text, data, graphics, images, information, and other material that you upload, submit, or transmit through the Services. |
| Customer Khata | The digital customer register feature of TechKosha that allows Business Owners to store and manage customer records. |
| Promotions | The WhatsApp-based bulk messaging feature that allows Business Owners to send offers and announcements to their customers. |
| Referral System | The feature that allows Business Owners to create referral programmes and track customer referrals automatically. |
| Free Plan | The no-cost tier of Services that allows up to 20 customer records and full access to core features. |
| Paid Plan | Any subscription-based tier offering expanded limits and additional features, as listed on the Website. |
| Account | The registered profile created by a User to access the Services. |
| Third-Party Services | External services integrated with TechKosha, including WhatsApp Business API, payment processors, and analytics providers. |
3. Eligibility and Account Registration
Who May Use TechKosha
You may use TechKosha only if:
- You are at least 18 years of age.
- You are legally capable of entering into a binding contract under the Indian Contract Act, 1872.
- You are not prohibited from using the Services under applicable law in India or any other jurisdiction.
- You are using the Services for legitimate business purposes only.
Account Registration
To access the full functionality of the Platform, you must register an Account by providing your business name and type, your name and WhatsApp mobile number, and any other information we may reasonably request. You agree that all information you provide during registration and thereafter is accurate, current, and complete. You are responsible for maintaining the accuracy of this information and for all activity that occurs under your Account.
Account Security
You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You must:
- Not share your Account credentials with any unauthorised person.
- Notify us immediately at support@techkosha.com if you become aware of any unauthorised access to or use of your Account.
- Ensure that your staff members who access the Account do so within the permissions you grant them.
TechKosha will not be liable for any loss or damage arising from your failure to maintain the security of your Account.
4. Use of Services
Permitted Use
Subject to your compliance with these Terms, TechKosha grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes.
Customer Khata (Customer Records)
- You may enter, upload, and manage information about your own business customers.
- You are solely responsible for ensuring that you have obtained the necessary consent from your customers before entering their personal information (name, phone number, payment details) into the Platform.
- You must not enter false, misleading, or fabricated customer records.
- Customer Data you enter belongs to your business. TechKosha does not claim ownership of your Customer Data.
Promotions (WhatsApp Messaging)
- You may use the Promotions feature to send WhatsApp messages to your customers who have shared their contact details with your business.
- You must have a prior business relationship with or explicit consent from each recipient before sending promotional messages.
- You must not use the Promotions feature to send spam, unsolicited messages, illegal content, or messages that violate WhatsApp's Terms of Service.
- TechKosha is not a WhatsApp Business API provider. Messaging delivery is subject to WhatsApp's policies and technical limitations.
- You are solely responsible for the content of any message you send through the Promotions feature.
Referral System
- You may create referral programmes with rewards you define (discounts, credits, free sessions).
- You are responsible for honouring any referral rewards you offer to your customers.
- TechKosha processes referral tracking and notifications only — it does not issue, guarantee, or be liable for the rewards you promise.
- Referral links generated are unique to each customer and must not be artificially gamed or abused.
Prohibited Conduct
You agree that you will NOT:
- Use the Services in any way that violates applicable Indian or international law, including the Information Technology Act, 2000, Digital Personal Data Protection Act, 2023, or the Consumer Protection Act, 2019.
- Enter, upload, or transmit another person's personal data without their knowledge or consent.
- Use the Services to harass, threaten, or defraud any person.
- Use the Services to send misleading, fraudulent, or defamatory communications.
- Attempt to gain unauthorised access to any part of the Services, servers, or networks.
- Reverse engineer, decompile, or disassemble any part of the Services.
- Use automated bots, scrapers, or scripts to access the Services without written permission.
- Resell, sublicense, or commercialise your access to the Services without our written consent.
- Interfere with or disrupt the integrity or performance of the Services.
- Impersonate TechKosha, its employees, or any other person or entity.
5. Free Plan and Paid Subscriptions
Free Plan
What's Included in the Free Plan
- Up to 20 customer records in Customer Khata
- Full access to the Promotions feature
- Full access to the Referral System
- No time limit on Free Plan usage
TechKosha reserves the right to modify the features and limits of the Free Plan at any time. We will provide at least 30 days' notice before reducing features available on an existing Free Plan.
Paid Plans
Paid Plans offering expanded customer limits and additional features are described on the Website. By subscribing to a Paid Plan:
- You authorise us to charge the applicable fees to your chosen payment method on the billing cycle selected.
- All fees are in Indian Rupees (INR) unless stated otherwise.
- Fees are non-refundable except as stated in our Refund Policy or as required by applicable law.
- Failure to pay may result in suspension or downgrade of your Account to the Free Plan.
Cancellation
You may cancel a Paid Plan at any time by contacting support@techkosha.com or through your Account settings. Cancellation takes effect at the end of the current billing period. You will continue to have access to Paid Plan features until that date.
6. Intellectual Property
TechKosha's IP
The TechKosha name, logo, brand, Website, Platform, software, designs, text, graphics, and all other content (excluding Customer Data) are the exclusive intellectual property of TechKosha and are protected under the Copyright Act, 1957, Trade Marks Act, 1999, and other applicable laws. You may not reproduce, distribute, modify, or create derivative works of any TechKosha content without our prior written permission.
Your Content and Customer Data
You retain full ownership of the Customer Data and any other Content you upload or create within the Platform. By using the Services, you grant TechKosha a limited, non-exclusive licence to process and store your Content solely for the purpose of providing the Services to you. We will not use your Customer Data for any purpose other than providing the Services, as further described in our Privacy Policy.
Feedback
If you provide us with suggestions, ideas, or feedback about the Services, you grant TechKosha a royalty-free, perpetual, irrevocable licence to use and incorporate such feedback without any obligation to you.
7. Data, Privacy, and Customer Consent
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
Your Responsibility as a Data Fiduciary
Under the Digital Personal Data Protection Act, 2023 (DPDP Act), when you collect and enter your customers' personal data into TechKosha, you act as a Data Fiduciary. This means:
- You are responsible for obtaining valid consent from your customers before collecting and entering their personal data.
- You must inform your customers about how their data is being used.
- You must comply with any data deletion requests from your customers.
- You must not misuse Customer Data entered into the Platform.
TechKosha as Data Processor
TechKosha acts as a Data Processor on your behalf — we store and process Customer Data only as instructed by you through your use of the Services. We do not sell your Customer Data to third parties. See our Privacy Policy for full details.
WhatsApp Messaging Consent
By using the Promotions feature, you confirm that every recipient of your WhatsApp messages has consented to receive commercial communications from your business, either by sharing their number with your business or by opting in explicitly. You indemnify TechKosha against any claim arising from a WhatsApp message sent without proper consent.
8. Disclaimers and Limitation of Liability
Services Provided "As Is"
The Services are provided on an "as is" and "as available" basis, without any warranty of any kind, express or implied. To the maximum extent permitted by law, TechKosha disclaims all warranties, including:
- That the Services will be uninterrupted, error-free, or secure.
- That any defects will be corrected.
- That the Services are free from viruses or other harmful components.
- That results obtained from using the Services will be accurate or reliable.
Limitation of Liability
To the maximum extent permitted by applicable Indian law, TechKosha and its directors, employees, partners, agents, suppliers, and affiliates shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages.
- Loss of profits, revenue, data, goodwill, or business opportunities.
- Any loss arising from your inability to access or use the Services.
- Any content or conduct of third parties on or through the Services.
- Any messages sent via the Promotions feature or referral rewards promised by a Business Owner.
In no event shall TechKosha's total liability to you exceed the amount you have paid to TechKosha in the three (3) months immediately preceding the event giving rise to the claim, or INR 1,000, whichever is higher.
Third-Party Services
TechKosha integrates with third-party services including WhatsApp. These services have their own terms and privacy policies, and TechKosha is not responsible for their content, availability, or actions. Your use of third-party services is at your own risk.
9. Indemnification
You agree to defend, indemnify, and hold harmless TechKosha, its directors, officers, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:
- Your violation of these Terms.
- Your use of the Services in violation of applicable law.
- Customer Data you enter, upload, or share through the Platform.
- Any message sent via the Promotions feature to a recipient without proper consent.
- Any referral reward you offered to a customer but failed to honour.
- Any claim by a third party arising from your use of the Services.
10. Suspension and Termination
Termination by You
You may close your Account at any time by contacting support@techkosha.com. Upon closure, your Customer Data will be deleted from our active systems within 30 days, unless retention is required by law. You may export your Customer Data before requesting closure.
Termination or Suspension by TechKosha
TechKosha reserves the right to suspend or terminate your Account, without notice or liability, if:
- You breach any provision of these Terms.
- We determine that your use poses a risk to TechKosha, other users, or third parties.
- We are required to do so by applicable law or a competent authority.
- You have not used the Services for more than 24 consecutive months (inactive accounts).
In the case of termination for breach, you will forfeit any pre-paid subscription fees for the remaining period.
11. Governing Law and Dispute Resolution
Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
Dispute Resolution
In the event of any dispute, controversy, or claim arising from or relating to these Terms or the Services, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If negotiation fails within 30 days, the dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended. The seat and venue of arbitration shall be Bangalore, India. The language of arbitration shall be English. The arbitral award shall be final and binding on both parties.
Jurisdiction
For any matter that cannot be resolved through arbitration, or for emergency injunctive relief, the courts of Bangalore, Karnataka shall have exclusive jurisdiction. Notwithstanding the above, TechKosha reserves the right to seek injunctive relief or other equitable remedy in any court of competent jurisdiction.
12. Changes to These Terms
TechKosha reserves the right to modify these Terms at any time. When we make material changes, we will:
- Update the "Last Updated" date at the top of this document.
- Notify you via a notice on the Platform or via your registered WhatsApp number at least 14 days before the changes take effect.
Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Services and close your Account.
13. Miscellaneous
Entire Agreement
These Terms, together with our Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and TechKosha regarding the Services, and supersede all prior agreements, representations, and understandings.
Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
Waiver
TechKosha's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
Assignment
You may not assign or transfer your rights or obligations under these Terms to any third party without TechKosha's prior written consent. TechKosha may assign its rights and obligations freely, including in connection with a merger, acquisition, or sale of assets.
Force Majeure
TechKosha shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, government actions, internet or telecommunications failures, power outages, pandemics, or acts of terrorism.
